These terms govern your use of SadaBot, a customer-messaging and support product from CODE NUTS. By creating an account, or by using the service on behalf of a business, you agree to them.
In these terms, “we” and “us” mean CODE NUTS; “you” means the business that subscribes and the people it authorises to use the service; and “end customer” means a person who messages you through the service.
1. What the service does
SadaBot connects the messaging channels you already operate — WhatsApp, Facebook Messenger, Instagram, Telegram, and a chat widget on your website — to a shared inbox, and drafts replies automatically from knowledge content you provide. It also offers contact records, automated conversation flows, message templates, broadcast campaigns and reporting.
2. Your account
- You must be able to enter a binding contract, and you must use the service for a business purpose.
- The information you give us must be accurate, and you must keep it up to date.
- You are responsible for your users' actions, for keeping credentials confidential, and for setting appropriate roles and permissions in your organisation.
- Tell us promptly at support@sadabot.com if you believe your account has been accessed without authorisation.
3. How you may and may not use it
You agree not to use SadaBot to:
- send unsolicited marketing, spam, or messages to people who have not agreed to hear from you, or who have asked you to stop;
- send unlawful, deceptive, harassing, hateful, or infringing content, or content that is unsuitable for the audience receiving it;
- impersonate another person or business, or misrepresent who is sending a message;
- collect or process personal data without a lawful basis, or in breach of a promise you made to the people concerned;
- break the rules of the messaging platforms you connect (see section 4);
- attempt to access another customer's data, probe or overload the service, or circumvent its limits or security controls; or
- resell or white-label the service without our written agreement.
Consent is your responsibility. You must obtain and be able to demonstrate the consent or other lawful basis needed before you message someone, particularly for marketing and for broadcast campaigns, and you must honour opt-out requests. The service records an opt-out when someone replies with a stop keyword and will then exclude them from campaigns, but that mechanism does not replace your own obligation to keep proper records of consent.
4. Third-party messaging channels
The channels are operated by their own providers, not by us. When you connect one:
- you must comply with that provider's terms and policies, including Meta's WhatsApp Business Messaging Policy and Commerce Policy, and Telegram's bot terms;
- the provider sets its own rules and limits — message templates that must be approved before use, sending windows, quality ratings, throughput tiers, and fees it charges you directly;
- the provider may restrict, suspend or ban your number, page or account, and may change its platform or pricing. We cannot control or reverse those decisions, and we are not responsible for them;
- you authorise us to connect to those platforms on your behalf and to exchange the data needed to send and receive your messages.
Any per-message or platform fees charged by a channel provider are separate from our subscription fees and are your responsibility.
5. Your data and your customers' data
- You keep all rights in the content you upload and in your conversation and contact data. We claim no ownership of it.
- You grant us the limited right to host, process and transmit that data as needed to provide the service to you, including sending relevant parts to the providers named on our Sub-processors page.
- For your end customers' conversation data you are the controller and we are the processor. We handle it on your instructions, for the purpose of providing the service, and not for our own purposes. You are responsible for having a lawful basis, for telling your customers how you use their data, and for answering their requests. Where you receive a request we can help with, or where a request reaches us first, we will pass it to you and assist you in carrying it out.
- You are responsible for the accuracy and legality of the knowledge content you upload, including any rights needed to use it.
- Our handling of personal data is described in the Privacy Policy, which forms part of these terms.
6. Automatically generated replies
Replies are drafted by automated systems from the content you provide. They can be wrong, incomplete or out of date. You are responsible for what your bot says to your customers: review your knowledge content, test your flows, and use the human-handover feature where accuracy matters. Do not rely on the service for legal, medical, financial or other professional advice, and do not configure it to give such advice on your behalf without appropriate review.
7. Fees, plans and limits
- Paid plans are billed in advance for the subscription period through our payment processor. Fees exclude taxes unless stated otherwise, and you are responsible for any tax that applies.
- Each plan includes limits — for example on messages, connected channels, knowledge sources and team members. Reaching a limit may pause automated replies until the next period or until you upgrade.
- Unless the law requires otherwise, fees already paid are not refundable. Cancelling stops future renewals; it does not refund the current period.
- We may change prices, and will give you reasonable notice before a change applies to your next renewal.
8. Availability, support and changes
- We work to keep the service available, but we do not commit to a specific uptime level unless we have agreed one with you in writing.
- We may need to interrupt the service for maintenance, and will try to limit and pre-announce planned downtime.
- We may add, change or withdraw features. If we withdraw something you materially rely on, we will give you reasonable notice.
- To protect the platform's stability, we may temporarily rate-limit or pause automated processing for an account that is placing an unusual load on shared resources. Where we do, your messages are still received and remain available to answer.
9. Intellectual property
The service, its software, and our names and logos are ours or our licensors'. These terms give you a limited, non-exclusive, non-transferable right to use the service during your subscription, and nothing more. You may not copy, decompile or create derivative works from the service, except where the law expressly permits it.
10. Confidentiality
Each of us may learn non-public information about the other. Each of us will keep it confidential, use it only for the purposes of this agreement, and protect it with at least reasonable care — except where disclosure is legally required.
11. Suspension and termination
- You may stop using the service and close your account at any time.
- We may suspend or limit an account without prior notice where it is necessary to stop unlawful activity, a security risk, a breach of section 3, harm to the platform or to other customers, or non-payment. We will tell you what happened and, where the cause can be fixed, what would restore the account.
- Either of us may terminate for material breach that is not remedied within 14 days of written notice.
- After termination you can request an export of your data for 30 days. We then delete the account's data as described in the Privacy Policy.
12. Disclaimers
Except as expressly stated in these terms, and to the extent the law allows, the service is provided “as is”. We do not warrant that it will be uninterrupted or error-free, that automatically generated replies will be accurate, or that a third-party platform will remain available or continue to permit your use of it. Nothing in this section limits rights you have under mandatory consumer law.
13. Limitation of liability
To the extent the law allows, neither of us is liable for indirect, incidental, special or consequential loss, or for lost profits, revenue, goodwill or data. Our total liability arising out of or relating to the service is limited to the fees you paid us in the twelve months before the event giving rise to the claim.
These limits do not apply to liability that cannot lawfully be limited, including for fraud, wilful misconduct, or death or personal injury caused by negligence.
14. Indemnity
You will defend and indemnify us against third-party claims, and related losses and reasonable costs, arising from your content, your messages, your breach of section 3 or section 5, or your breach of a channel provider's policies.
15. Changes to these terms
We may update these terms. We will change the date at the top of this page and, for material changes, notify you before they take effect. Continuing to use the service after that date means you accept the updated terms; if you do not, you may close your account.
16. Governing law
These terms are governed by the laws of the Arab Republic of Egypt, and the competent courts of Cairo have exclusive jurisdiction over any dispute — without affecting any right you have to bring a claim, or a mandatory protection available to you, in your own country of residence.
17. General
- These terms, together with the Privacy Policy, are the entire agreement between us about the service.
- If a provision is found unenforceable, the rest stays in force.
- Not enforcing a right immediately does not waive it.
- You may not transfer these terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets.
- Neither of us is liable for a delay caused by an event beyond our reasonable control.
